Terms and Conditions
1. Introduction Welcome to Digital Kings Networking, LLC ("Company," "we," "us," or "our"). By engaging our website design, SEO, and related services ("Services"), you ("Client," "you," or "your") agree to the following Terms and Conditions. Please read them carefully as they govern your use of our Services.
2. Ownership of Website Designs
2.1 All websites designed by Digital Kings Networking remain the property of the Company. Clients are granted a limited, non-transferable license to use the website as long as they maintain an active agreement with us.
2.2 Upon termination of services, access to the website and any associated assets created by Digital Kings Networking will be revoked unless otherwise agreed in writing. The Client does not own the website design, its underlying code, or any related intellectual property created by Digital Kings Networking.
3. Domain Ownership and Transfer
3.1 The Client retains full ownership of their domain name. Digital Kings Networking will manage the domain on behalf of the Client during the term of the agreement.
3.2 If the Client cancels services, we will transfer the domain to the Client upon request. However, domains cannot be transferred within two months of being accepted into our account due to security restrictions imposed by GoDaddy.
3.3 If the Client requests a domain transfer and the domain's renewal is due, a "Domain Transfer Fee" equal to the renewal cost will apply. Outside of these circumstances, domain transfers are free of charge.
3.4 Digital Kings Networking is not responsible for the protection of your domain or for paying the yearly domain renewal fee.
4. Payment Terms
4.1 All payments, including the first month's setup fee and monthly investment, are non-refundable.
4.2 Failure to pay an invoice by its due date will result in the account being sent to collections. Additional fees may apply for collection efforts.
4.3 If a Client disputes charges with their bank, such disputes will be considered an attempt to steal services. Such accounts will be sent to collections, and we reserve the right to pursue legal action.
5. Liability
5.1 Digital Kings Networking is not liable for the suspension or termination of your Google Business Profile or the deletion or hacking of your social media profiles.
5.2 We are not responsible for any loss, damage, or downtime caused by external factors such as hosting provider issues, third-party integrations, or cyberattacks.
6. Confidentiality and Data Use
6.1 Both parties agree to keep confidential any proprietary information shared during the course of the business relationship.
6.2 The Company will not share or sell Client data with third parties without explicit consent, except as required by law or as necessary to perform the agreed-upon Services.
7. Communication Consent
7.1 By engaging our Services, the Client consents to receive text messages, phone calls, and emails from Digital Kings Networking for purposes related to account management, service updates, billing, marketing, and other relevant communications. The Client may opt out of marketing messages at any time by following instructions provided in the message.
8. Payment Authorization After Homepage Approval
8.1 By signing this agreement, the Client authorizes Digital Kings Networking to charge the payment method on file for the agreed service fees following the homepage approval meeting if the Client does not provide feedback or a response within 48 hours of the meeting. This authorization ensures project progress and timely service delivery.
9. Termination
9.1 Either party may terminate this agreement by providing a 30-day written notice. All outstanding invoices must be paid in full before termination is finalized.
9.2 Upon termination, all non-domain-related assets created by Digital Kings Networking will remain the property of the Company.
10. Indemnification The Client agrees to indemnify and hold harmless Digital Kings Networking, its employees, agents, and affiliates from any claims, damages, or losses arising out of or related to the use of our Services.
11. Amendments Digital Kings Networking reserves the right to amend these Terms and Conditions at any time. Updated terms will be communicated to the Client and will take effect immediately upon publication.
12. Governing Law This agreement is governed by the laws of the State of North Carolina. Any disputes arising under this agreement shall be resolved in the courts located in Mecklenburg County, North Carolina.
13. Entire Agreement These Terms and Conditions constitute the entire agreement between the Client and Digital Kings Networking and supersede all prior agreements, representations, and understandings.
